Affiliate Agreement
By filling out the signup form, you acknowledge that you have read and agree with the terms and conditions associated with this affiliate program.
1. General: This document represents the agreement between The Culleoka Company LLC
and the Affiliate; it is a legally binding agreement. By participating in the Affiliate Program, the
Affiliate agrees to comply with its terms.
2. Referral Tracking: The Affiliate is provided with Referral Links to promote products and
content. Referral tracking is done through cookies that expire after 60 days. Modifications to
Referral Links or cookies are prohibited, and any tracking errors resulting from such
modifications are the Affiliate's responsibility.
3. Affiliate Fees and Payouts: Payouts are made on the designated payment day (5 th ) of each
month. A referral becomes eligible for payout after 30 days if it meets certain criteria. The
Affiliate is eligible to receive a commission, paid in USD, calculated based on the product net
sale, which includes product(s) price (excluding tax, shipping and handling and discounts), for
each active eligible Referral. Payments are made through PayPal, and the Affiliate is
responsible for providing their PayPal email. Commissions may be forfeited in case of fraudulent
activity.
5. Completed W-9: By entering into this agreement, the payee acknowledges and agrees that
the payer may request and collect their taxpayer identification number (TIN) or Social Security
Number (SSN) for tax reporting and compliance purposes in accordance with applicable IRS
regulations. Failure to provide accurate and timely TIN or SSN information may result in
withholding payments or reporting as required by law.
5. Advertisements: The Affiliate is granted a limited license to use The Culleoka Company
LLC's logos, advertisements, and banners for promoting the service. Advertisements must be in
good taste and must not negatively portray The Culleoka Company LLC. The Affiliate is
responsible for its marketing activities and must comply with applicable laws. The Culleoka
Company LLC may require the removal or modification of advertisements without prior notice.
6. Termination: The Affiliate can terminate participation by providing written notice through the
Culleoka Company messaging system. The Culleoka Company LLC reserves the right to
terminate the Affiliate's participation for breaches of the agreement or conduct harmful to the
business.
7. Relationship of Parties: The parties are independent contractors, and this agreement does
not create any partnership, employment, or joint venture.
8. Limitation of Liability: The Affiliate Program is provided "as is," and neither The Culleoka
Company LLC nor OSI makes any warranties. The Affiliate assumes responsibility for any
damages or inconveniences resulting from its use of the program. The Affiliate indemnifies and
holds harmless The Culleoka Company LLC and OSI from certain liabilities.
9. Modification: The Culleoka Company LLC may change or modify this agreement at any
time, with or without notice. Such changes become effective for all Affiliates upon posting. The
Affiliate's continued participation implies acceptance of modifications.
10. Miscellaneous: The Affiliate must be over 18 and comply with all applicable laws. This
agreement supersedes any other contracts or understandings between the parties.
Joining Our Affiliate Program
By filling out the signup form, you will automatically become an affiliate and are bound by the terms of this agreement.
Revocation of Affiliate Status
Your affiliate application and status in the program may be suspended or terminated for any of the following reasons:
- You fail to provide your W-9 and PayPal email
- Violation of Terms of Service: Such as engaging in fraudulent activities, spamming, or engaging in prohibited activities. This could include not properly disclosing your affiliate relationship, misrepresenting the products or services, or engaging in deceptive practices.
- Inappropriate Content: If an affiliate promotes or shares inappropriate, offensive, or harmful content that goes against the website's content policies, their affiliate status may be revoked.
- Violation of Privacy: If an affiliate violates the privacy of website users or customers, such as by sharing personal information without consent, their status may be revoked.
- Ethical or Legal Concerns: If the affiliate is involved in activities that raise ethical or legal concerns, such as engaging in fraud, illegal activities, or other unethical behavior, their status may be revoked.
- Breach of Payment Terms: If the affiliate fails to adhere to the payment terms and conditions set forth in the affiliate program, such as delayed payments or improper invoicing, their status may be revoked.
- Negative Brand Association: If the affiliate's actions or associations negatively impact the brand's reputation or image, the website may choose to revoke their affiliate status to protect its brand.
- Termination of Affiliate Program: In some cases, the website may decide to discontinue its affiliate program altogether, leading to the revocation of all affiliate statuses.
Affiliate Links
Affiliate links can be used in various online as well as offline channels.
- Personal Websites or Blogs: Many affiliates use their personal websites or blogs to promote products or services through affiliate links. They can create content, reviews, and recommendations related to the products or services they are affiliated with and include their affiliate links within the content.
- Social Media: Share affiliate links on their social media profiles, including platforms like Facebook, Twitter, Instagram, and Pinterest. They may post reviews, product recommendations, or promotions that include affiliate links.
- YouTube and Video Platforms: Video content creators on platforms like YouTube often include affiliate links in their video descriptions. They may review products or provide tutorials and include affiliate links to the products mentioned.
- Email Marketing: Incorporate affiliate links into their email marketing campaigns. They may send newsletters or promotional emails to their subscribers, including affiliate links to relevant products or services.
- Forums and Online Communities: Participate in online forums, discussion boards, or communities related to their niche and share affiliate links when it's relevant to the discussion or topic.
- Paid Advertising: Paid advertising platforms like Google Ads or social media advertising to promote products or services using affiliate links. However, they must comply with the advertising platform's policies and disclose their affiliate relationships when required.
- Podcasts: Podcasters may include affiliate links in their show notes or verbally mention them during their episodes when discussing products or services.
- Print Media: Such as flyers, brochures, or business cards, to promote products or services using QR codes or custom URLs that contain their affiliate tracking information.
- In-Person Events: Attending trade shows, conferences, or other in-person events related to their niche may distribute promotional materials that include affiliate links or QR codes.
